• Acceptance of Terms
  By accessing our website, requesting information, submitting an inquiry, receiving a quote, purchasing services, making payment, signing a proposal or agreement, or otherwise engaging with Babylon Global Holdings LLC, you agree to these Terms & Conditions and to all related company policies, notices, disclaimers, invoices, proposals, scopes of work, service terms, privacy terms, and any additional written conditions made available by the Company. These materials are incorporated by reference and form part of the overall agreement between you and Babylon Global Holdings LLC. If you do not agree, you must not use our website, request services, or engage with the Company.
  
  These Terms & Conditions apply broadly to visitors, clients, prospective clients, contractors, subcontractors, vendors, referral sources, and any other person or entity interacting with the Company. If a separate written agreement signed by Babylon Global Holdings LLC applies to a specific engagement, that signed agreement controls to the extent of any direct conflict, but all non-conflicting Company policies and protections remain in effect.
   

• Company Discretion and No Obligation to Accept Work
  Babylon Global Holdings LLC reserves the absolute right to accept, reject, suspend, limit, decline, postpone, or discontinue any inquiry, request, engagement, transaction, or relationship at any time, with or without explanation, to the maximum extent permitted by law. Nothing on our website, in any communication, or in any preliminary discussion obligates the Company to provide services, reserve availability, hold pricing, disclose internal methods, reveal vendor relationships, or proceed with any project unless the Company expressly agrees in writing.
  
  Any proposal, estimate, pricing discussion, availability indication, introductory call, or informal communication is non-binding unless and until confirmed by the Company in writing. The Company may revise scope, timing, fees, availability, methods, staffing, deliverables, or engagement conditions at its discretion before final written acceptance.
   

• Scope of Services
  Babylon Global Holdings LLC may provide professional, operational, logistical, translation, coordination, consulting, support, project-based, and related business services as determined by the Company and as may be agreed in writing from time to time. Service scope may vary by project requirements, timing, capacity, legal considerations, third-party availability, jurisdictional constraints, commercial terms, risk considerations, or other operational factors.
  
  Unless expressly stated in a signed written agreement, the Company is not obligated to provide any minimum service level, staffing level, exclusivity, turnaround time, guaranteed result, guaranteed availability, dedicated team, or specific methodology. The Company may use employees, contractors, subcontractors, affiliates, service providers, local partners, or other third parties as it deems appropriate.
   

• Client Responsibility
  You agree to provide accurate, current, complete, lawful, and properly authorized information, documents, instructions, materials, and approvals. You are solely responsible for the legality, accuracy, sufficiency, timing, and completeness of what you provide to the Company. The Company may rely on information and instructions provided by or on behalf of you without independent verification unless it expressly agrees otherwise in writing.
  
  You are solely responsible for your own internal approvals, compliance obligations, legal review, tax treatment, insurance, permits, visas, licenses, customs issues, content ownership, usage rights, regulatory requirements, and any other obligations applicable to your operations, personnel, counterparties, or project objectives unless the Company expressly agrees in writing to handle a specific item. You agree not to use the Company or its services for unlawful, misleading, abusive, fraudulent, infringing, or unauthorized purposes.
  
  You further agree that your use of our website and services will not violate any law, regulation, contract, confidentiality obligation, third-party right, intellectual property right, privacy right, publicity right, or internal policy applicable to you or your organization.
   

• Payments and Commercial Terms
  All fees, deposits, retainers, milestone payments, rush charges, pass-through costs, project costs, administrative charges, coordination fees, procurement charges, and other amounts due to Babylon Global Holdings LLC are earned under the applicable engagement terms and are non-refundable unless the Company expressly agrees otherwise in a signed written agreement. This applies regardless of project delay, project change, partial use, client cancellation, scheduling issue, internal budget issue, change of mind, third-party delay, access issue, travel issue, operational issue, legal issue, or any other reason not expressly accepted in writing by the Company.
  
  Payment is due as stated in the applicable invoice, agreement, proposal, or written communication. The Company may require full or partial prepayment and may suspend work, withhold deliverables, delay scheduling, revoke access, or terminate an engagement if any amount is late, disputed, reversed, charged back, withheld, or unpaid. The Company may also recover collection costs, processing costs, administrative costs, attorneys’ fees, enforcement costs, and any other lawful recovery amounts to the maximum extent permitted by law.
  
  No chargeback, reversal, offset, deduction, withholding, or payment dispute is permitted except where clearly required by law. Any unauthorized chargeback, reversal, or payment interference constitutes a material breach of these Terms & Conditions.
   

• Changes, Delays, and Dependencies
  Any timeline, delivery window, scheduling target, estimate, milestone, or completion forecast is an estimate only unless expressly guaranteed in a signed written agreement. Actual timing may be affected by client responsiveness, scope changes, approvals, third-party performance, platform issues, vendor issues, travel conditions, market conditions, legal restrictions, operational conditions, infrastructure issues, security issues, force majeure events, or other circumstances.
  
  The Company is not responsible for delays, cost increases, changes in availability, reduced scope, or nonperformance caused in whole or in part by client action or inaction, third parties, government action, transportation issues, technical issues, customs or border issues, document issues, weather, labor conditions, supply interruptions, force majeure events, communication failures, or any event outside the Company’s reasonable control.
  
  The Company may modify the method of performance, staffing model, tools, vendors, channels, sequence, or operational approach if reasonably necessary to complete or attempt to complete an engagement.
   

• No Warranty and No Guaranteed Outcome
  To the maximum extent permitted by law, the website, communications, and services of Babylon Global Holdings LLC are provided on an as available and as is basis unless a signed written agreement expressly states otherwise. The Company disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, completeness, compatibility, or outcome.
   

• The Company does not guarantee any specific commercial result, approval, acceptance, publication, transaction, operational outcome, business opportunity, market result, vendor result, timeline, cost savings, legal outcome, or third-party action. Any guidance, estimate, translation, recommendation, coordination support, or operational assistance is provided for business convenience only and should not be treated as legal, tax, regulatory, immigration, insurance, investment, security, or other professional advice unless expressly agreed in writing.
   

• Third-Party Providers and External Systems
  The Company may rely on third-party providers, contractors, subcontractors, local partners, platforms, payment processors, telecom providers, transport providers, lodging providers, hosting providers, software tools, communication tools, and other external systems. The Company does not control third-party availability, conduct, security, pricing, outages, policies, delays, or performance and is not responsible for third-party acts, omissions, refusals, cancellations, errors, failures, or losses except to the extent expressly required by law.
  
  Any third-party product, service, booking, arrangement, introduction, referral, vendor connection, or external support is subject to the terms, conditions, policies, limitations, and availability of that third party. You accept the risks associated with third-party dependence and understand that substitution, modification, rescheduling, or cancellation may be necessary.
   

• Confidentiality and Restricted Use
  Any non-public information shared by Babylon Global Holdings LLC, including proposals, pricing, internal methods, sourcing methods, vendor relationships, workflows, staffing structures, contacts, coordination models, commercial terms, documentation, and business communications, is confidential and may not be disclosed, copied, distributed, republished, reverse engineered, used for competitive purposes, or shared with any third party except on a strict need-to-know basis for the specific permitted purpose and subject to appropriate confidentiality protections.
  
  You may not use Company materials, information, introductions, recommendations, networks, vendor relationships, or operational pathways to bypass, avoid, displace, undercut, replicate, or circumvent the Company, whether directly or indirectly. Any attempt to bypass the Company in connection with services, introduced relationships, project channels, counterparties, support networks, or commercial opportunities identified through the Company shall constitute a material breach of these Terms & Conditions and may result in immediate termination, legal action, injunctive relief, and recovery of damages and costs to the maximum extent permitted by law.
  
  You may not publicly identify Babylon Global Holdings LLC as a vendor, partner, subcontractor, contractor, service provider, or participant in any project, transaction, or engagement, and you may not use the Company’s name, logo, brand, testimonials, relationship, or work product in any press release, website, pitch deck, filing, media item, marketing material, case study, social media post, or internal or external announcement without prior written consent from the Company.
   

• Intellectual Property and Deliverables
  All rights, title, and interest in and to the website, content, systems, proposals, templates, workflows, methods, documentation, reports, formats, compilations, internal tools, know-how, branding, and all other Company materials remain the exclusive property of Babylon Global Holdings LLC or its licensors unless expressly transferred in a signed written agreement.
  
  Unless otherwise agreed in writing and only after full payment has been received, the Company grants a limited, non-exclusive, non-transferable, revocable license to use approved deliverables solely for the specific internal or business purpose for which they were provided. You may not resell, sublicense, redistribute, modify, publish, exploit, train systems on, or reuse Company deliverables, materials, or work product beyond the agreed purpose without prior written consent.
   

• Suspension and Termination
  The Company may suspend, restrict, withhold, or terminate access to the website, communications, services, deliverables, accounts, project activity, or any engagement at any time, immediately and without liability, if the Company believes there is nonpayment, noncooperation, excessive risk, legal concern, misuse, abusive conduct, reputational concern, unauthorized disclosure, circumvention, inaccurate information, security concern, compliance issue, operational conflict, force majeure event, or any other reason the Company reasonably considers material.
  
  Upon suspension or termination, the Company may stop work immediately, cancel scheduling, retain or archive project records, withhold deliverables, enforce payment obligations, preserve evidence, protect its rights, and pursue any remedy available under law or contract. Termination does not waive any accrued right, remedy, payment obligation, confidentiality obligation, limitation of liability, indemnity right, or intellectual property protection.
   

• Indemnification
  You agree to defend, indemnify, and hold harmless Babylon Global Holdings LLC, its affiliates, representatives, personnel, contractors, subcontractors, licensors, service providers, and business partners from and against any claims, demands, disputes, investigations, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees and enforcement costs, arising out of or related to your website use, your engagement with the Company, your breach of these Terms & Conditions, your submitted materials, your instructions, your project, your clients or counterparties, your violation of law, your violation of third-party rights, or your misuse of the Company’s services, deliverables, systems, or confidential information.
   

• Limitation of Liability
  To the maximum extent permitted by law, Babylon Global Holdings LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, speculative, or lost profit damages, nor for any loss of revenue, opportunity, goodwill, data, business interruption, replacement cost, reputational harm, project delay, or third-party claim, even if advised of the possibility of such damages.
  
  To the maximum extent permitted by law, the total aggregate liability of Babylon Global Holdings LLC arising out of or relating to any claim, service, project, transaction, website use, or engagement shall not exceed the amount actually paid to the Company for the specific service directly giving rise to the claim during the immediately preceding ninety days, or the minimum amount permitted under the controlling written agreement if lower. This limitation applies regardless of legal theory and regardless of whether any remedy fails of its essential purpose.
  
  Nothing in these Terms & Conditions shall be interpreted to create liability for acts or omissions of third parties, client personnel, external platforms, communications providers, transport providers, accommodation providers, payment processors, government entities, or any event outside the Company’s reasonable control.
   

• Privacy and Data Handling
  Your use of our website and services is also subject to our Privacy Policy and any applicable data handling or confidentiality terms made available by the Company. All such policies are incorporated into these Terms & Conditions by reference. By engaging with the Company, you acknowledge that information may be collected, used, stored, shared, transferred, and protected in accordance with those policies and with applicable law.
   

• Electronic Communications
  You agree that the Company may communicate electronically and that electronic records, approvals, confirmations, signatures, invoices, notices, and communications may be used for operational, commercial, legal, administrative, and evidentiary purposes to the maximum extent permitted by law. You are responsible for maintaining accurate contact information and monitoring your communication channels.
   

• Changes to Terms
  Babylon Global Holdings LLC may revise, update, supplement, replace, or modify these Terms & Conditions and any related policy or notice at any time, with or without prior notice, by posting an updated version through an appropriate Company channel or by otherwise making updated terms available. The then-current version applies from its stated effective date to the maximum extent permitted by law. Continued use of the website or continued engagement with the Company constitutes acceptance of the updated terms.
   

• Severability, Waiver, Assignment, and Interpretation
  If any provision of these Terms & Conditions is held invalid, unenforceable, or unlawful, the remaining provisions shall remain in full force to the maximum extent permitted by law. No waiver by the Company shall be effective unless in writing, and no delay or partial exercise of any right shall waive any other right. You may not assign, transfer, delegate, or sublicense any right or obligation under these Terms & Conditions without prior written consent from the Company. The Company may assign or transfer its rights and obligations at its discretion to the maximum extent permitted by law. Headings are for convenience only and do not limit interpretation.
   

• Governing Law and Dispute Handling
  These Terms & Conditions shall be interpreted and enforced under applicable law and, where relevant, under the governing law, forum, venue, dispute resolution, and enforcement provisions contained in the applicable signed written agreement, proposal, invoice, or Company terms accepted by the parties. To the maximum extent permitted by law, Babylon Global Holdings LLC may seek injunctive relief, protective relief, equitable relief, debt recovery, or other appropriate remedies in any lawful forum as necessary to protect its rights, confidential information, business interests, receivables, systems, personnel, or property.
   

• Entire Agreement
  These Terms & Conditions, together with all incorporated policies, notices, invoices, proposals, scopes of work, confidentiality terms, service terms, privacy terms, and any applicable written agreement accepted by the parties, constitute the full understanding relating to the subject matter and supersede prior or contemporaneous discussions to the extent permitted by law. No statement, promise, representation, custom, course of dealing, or prior communication shall modify these Terms & Conditions unless expressly confirmed in writing by Babylon Global Holdings LLC.
