1. Acceptance of Terms

By accessing or using any services provided by Babylon Global Holdings LLC (“Company,” “we,” “our,” or “us”), you (“Client,” “you,” or “your”) agree to these Terms and Conditions. If you do not agree, you must not use our services.
 

2. Scope of Services

Our services include, but are not limited to, logistics, facilities support, translation, armored vehicle services, and additional contracting solutions as mutually agreed. Services may vary by availability, jurisdiction, or contract terms.
 

3. Non-Refundable Services

All payments made to Babylon Global Holdings LLC are non-refundable unless explicitly stated otherwise in a signed written agreement. By engaging our services, you acknowledge and agree that service fees, retainers, deposits, and project costs are final.
 

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and lawful information.

  • Comply with all applicable laws and regulations.

  • Ensure that use of our services does not infringe upon the rights of third parties.
    Failure to comply may result in suspension or termination of services without refund.
     

5. Company Rights

We reserve the right to:

  • Accept or decline any engagement at our sole discretion.

  • Subcontract services to trusted third parties when necessary.

  • Update or modify these Terms at any time without prior notice. Continued use constitutes acceptance of the most recent version.
     

6. Payment Terms

Payments are due in full as agreed in writing, unless otherwise specified. Late or unpaid balances may result in suspension of services and/or additional fees.
 

7. Limitation of Liability

To the maximum extent permitted by law:

  • Babylon Global Holdings LLC shall not be liable for indirect, incidental, consequential, or punitive damages.

  • Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

  • We are not responsible for delays, disruptions, or non-performance caused by force majeure events, including but not limited to war, terrorism, government action, natural disasters, cyberattacks, or supply chain failures.
     

8. Indemnification

You agree to indemnify, defend, and hold harmless Babylon Global Holdings LLC, its members, officers, employees, agents, and subcontractors from and against any claims, liabilities, damages, or expenses arising from your use of our services or breach of these Terms.
 

9. Confidentiality

All non-public information exchanged during service engagements shall remain confidential unless disclosure is required by law.
 

10. Intellectual Property

All documents, reports, proposals, and deliverables created by us remain our intellectual property unless explicitly transferred in writing. You receive a non-exclusive license to use deliverables for the agreed purpose only.
 

11. Governing Law and Venue

These Terms are governed by the laws of the United States of America and the State of Wyoming. Any disputes shall be resolved exclusively in the courts of Wyoming, unless superseded by federal jurisdiction.
 

12. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
 

13. Entire Agreement

These Terms, together with any signed written agreements, constitute the entire agreement between you and Babylon Global Holdings LLC and supersede all prior communications.
